6.2 User-Submitted Content

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, IN NO EVENT SHALL HANGRY JOE'S, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUPPLIERS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
• PERSONAL INJURY OR PROPERTY DAMAGE ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES;
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY PERSONAL INFORMATION STORED THEREIN;
• DAMAGES ARISING FROM INTERRUPTION OR CESSATION OF SERVICES;
• DAMAGES ARISING FROM BUGS, VIRUSES, OR OTHER HARMFUL CODE TRANSMITTED THROUGH THE SITE BY THIRD PARTIES;
• DAMAGES ARISING FROM ERRORS OR OMISSIONS IN ANY CONTENT OR MATERIALS;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF HANGRY JOE'S HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, HANGRY JOE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE THIRTY (30) DAYS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.

9. Indemnification

You agree to defend, indemnify, and hold harmless Hangry Joe's and its owners, officers, directors, employees, agents, contractors, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to reasonable attorneys' fees and court costs) arising from or related to:

• Your violation of any provision of these Terms;
• Your violation of any applicable federal, state, or local law, regulation, or rule;
• Your violation of any third-party right, including without limitation any copyright, trademark, privacy, or other proprietary right;

• Any fraudulent, negligent, or otherwise wrongful acts or omissions by you;
• Any dispute between you and any other user or third party.

We reserve the right, at our own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses. This indemnification obligation will survive the termination of your account and these Terms.

12. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Hangry Joe's is registered and primarily operates, without regard to its conflict of law provisions.

You agree that any legal action or proceeding between you and Hangry Joe's for any purpose concerning these Terms or the parties' obligations hereunder shall be brought exclusively in a federal or state court of competent jurisdiction. You hereby consent and submit to the personal jurisdiction of such courts for the purpose of litigating any such claim or action.

These Terms shall also be subject to and construed in accordance with applicable federal laws of the United States, including the Federal Trade Commission Act (15 U.S.C. § 41 et seq.) governing unfair or deceptive acts and practices, and any other applicable federal consumer protection statutes.

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to first contact Hangry Joe's at [email protected] and attempt to resolve the dispute informally. We will make good-faith efforts to resolve the dispute within thirty (30) days of receiving written notice of your claim. If we are unable to resolve the dispute informally, either party may proceed to binding arbitration as described below.

13.2 Binding Arbitration

EXCEPT FOR CLAIMS THAT MAY BE BROUGHT IN SMALL CLAIMS COURT, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS, THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF, OR THE USE OF THE SERVICES, SHALL BE RESOLVED EXCLUSIVELY BY FINAL AND BINDING ARBITRATION.

The arbitration shall be conducted by a recognized arbitration organization under its then-current rules. The arbitration shall take place in the United States, in the state where Hangry Joe's is registered and primarily operates, or at another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AND HANGRY JOE'S AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Further, unless both you and Hangry Joe's agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of representative or class proceeding.

13.4 Waiver of Jury Trial

BY AGREEING TO THESE TERMS, YOU AND HANGRY JOE'S EACH WAIVE THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION WITH RESPECT TO THE CLAIMS COVERED BY THIS ARBITRATION AGREEMENT.

14. Term and Termination

These Terms shall remain in full force and effect for as long as you use the Site or Services or maintain an account with us.

14.1 Termination by You

You may terminate your account at any time by contacting us at [email protected] and requesting account deletion. Termination of your account will not relieve you of any obligations that arose prior to the termination date, including any outstanding payment obligations.

14.2 Termination by Us

We reserve the right, at our sole discretion and without prior notice, to:

• Suspend or permanently terminate your account and access to the Services;
• Remove or disable any User Content you have submitted;
• Pursue any other available legal or equitable remedies;

if we reasonably believe that you have violated these Terms, engaged in fraudulent activity, posed a risk to other users or the Company, or for any other reason that we deem appropriate in our sole discretion.

14.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including without limitation: intellectual property provisions, disclaimers, indemnification, limitation of liability, dispute resolution, and governing law provisions.

Hangry Joe's shall not be liable or responsible to you, nor be deemed to have breached these Terms, for any failure or delay in fulfilling or performing any term of these Terms when and to the extent such failure or delay is caused by acts beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, government actions, war, terrorism, civil unrest, fire, flood, labor disputes, supply chain disruptions, or failures of third-party service providers. In the event of such circumstances, we will make commercially reasonable efforts to notify affected users and resume services as soon as practicable.
